Course content

  • Introduction to law and commercial law – commercialism and law
  • Sources of commercial law, methods to define commercialism, consequences of a person’s “commercial status”
  • The concept and the constituent components of “enterprise”
  • “Association of persons”-companies and the general principles underlying the organization of legal persons
  • Civil-law clubs and partnerships: fundamental principles
  • General partnerships
  • Limited partnerships
  • Société anonymes or public limited companies (the concept of “share”, rights and obligations of shareholders, the Board of Directors, the General Meeting, minority shareholders’ rights)
  • Limited liability companies
  • Private limited companies

Teaching Results

The general objective of the course is to present, in a comprehensive and intelligible manner, the legal framework underlying commercial transactions and merchants (natural and legal persons). More specifically, the course provide students with the necessary background to comprehend:
• the concept and the constituent components of “commercial action”
• the consequences of a person’s “commercial status”
• the concept and the constituent components of “enterprise” and “entrepreneur”
• the basic principles – viewed from a theoretical and hands-on perspective – that permeate the incorporation, organization and functioning of companies, with emphasis on:

  • general partnership
  • limited partnership
  • silent partnership
  • joint venture (or consortium)
  • société anonyme (SA) or public limited company (PLG)
  • limited liability company
  • private limited company

Student Evaluation:

Students’ evaluation takes place in the Greek language. Students are required to produce concise but at the same time comprehensive answers to four (4) problem questions that are derived from the case studies discussed and analyzed in the class. Total scoring is equally distributed among the four questions. Scoring of potential sub-questions is set out in the exam paper.

Considering that  all exam questions are derived from the case studies discussed extensively in the class, students are fully aware not only of the appropriate method to address the exam questions but also the evaluation criteria that are adopted.
